By accessing zyronlabs.com or engaging Zyron Labs for any service, you agree to these Terms and Conditions in full. If you do not agree with any part of these terms, please discontinue use of the website and our services immediately.
Zyron Labs provides AI automation, custom software, web platforms, and growth-system consulting services. Specific deliverables, milestones, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or proposal, which takes precedence over the general terms on this website.
Clients agree to provide timely access to information, accounts, assets, approvals, and feedback required for service delivery. Delays caused by client unavailability or incomplete inputs may impact timelines and fees as outlined in the relevant SOW.
Unless otherwise specified in writing, Zyron Labs retains ownership of pre-existing frameworks, tools, internal libraries, and methodologies used during an engagement. Client-specific deliverables, custom code, and assets created exclusively for the client transfer to the client upon full payment, except for our underlying tooling.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services, and to use such information only for the purpose of performing or receiving the services. This obligation survives termination of any engagement.
Fees, billing cycles, and accepted payment methods are specified in the SOW. Invoices are due within the period stated on the invoice. Late payments may accrue interest at the maximum rate permitted by applicable law and may result in suspension of services until balances are cleared.
Engagements may be cancelled in writing by either party in accordance with the SOW. Fees for work already performed are non-refundable. Where a project is paused or cancelled, deliverables completed up to the point of cancellation will be made available upon settlement of outstanding fees.
We perform services with reasonable skill and care. Beyond the warranties expressly stated in an SOW, our services are provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Zyron Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising from the use of this website or our services. Total aggregate liability shall not exceed fees paid in the prior three months.
You agree to indemnify and hold Zyron Labs harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your misuse of our services, your content, or your violation of these Terms or applicable law.
We may suspend or terminate access to the website or any service at any time, for any reason, without notice, including breach of these Terms. Provisions that by their nature should survive termination — intellectual property, confidentiality, limitation of liability — shall continue to apply.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, unless otherwise required by applicable law.
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the website or services after such changes constitutes acceptance of the revised Terms.
