Cancellation Policy

How engagements with Zyron Labs can be cancelled, what notice is required, and what happens to work already completed.

Overview

This Cancellation Policy explains how you or Zyron Labs may cancel an engagement for our services. Specific cancellation rights, notice periods, and fees in your Statement of Work (SOW) or signed proposal take precedence over this page where they conflict.

How to Cancel

To cancel an engagement, send written notice to contact@zyronlabs.com from an authorized representative of your company. The notice should include your project or SOW reference, the requested cancellation date, and a brief reason. Cancellation is effective only after we acknowledge receipt in writing.

Client-Initiated Cancellation

You may cancel an engagement at any time by providing written notice, unless your SOW specifies a minimum commitment or lock-in period. You remain responsible for all fees for work performed and milestones completed up to the effective cancellation date, plus any non-refundable third-party costs we incurred on your behalf with your prior approval.

Zyron Labs–Initiated Cancellation

We may cancel or pause an engagement if invoices remain unpaid beyond the period stated in the SOW, if required client inputs or access are not provided after reasonable notice, or if continuing would violate law or these policies. In such cases, fees for work already performed remain due.

Notice Periods

Unless otherwise stated in your SOW, we ask for at least seven (7) days’ written notice before the effective cancellation date for ongoing retainers, and as much notice as practicable for fixed-scope projects. Shorter notice may delay handoff of materials or increase final settlement time.

Work Completed Before Cancellation

Upon cancellation and settlement of outstanding fees, we will provide deliverables completed and accepted (or reasonably complete) up to the cancellation date, in the form agreed in the SOW. Incomplete work-in-progress may be shared at our discretion where doing so does not disclose unrelated client confidential information or proprietary tooling.

Subscriptions and Retainers

Monthly retainers and recurring service packages cancel at the end of the then-current billing period unless your SOW allows mid-period termination with pro-rata settlement. Pre-paid periods are handled under our Refund Policy and the terms of your SOW.

Effect on Intellectual Property

Cancellation does not transfer ownership of deliverables that have not been fully paid for. Client-specific work transfers according to our Terms and Conditions and your SOW upon full payment of amounts due through the cancellation date.

Relationship to Refunds

Cancellation and refunds are related but distinct. Cancelling an engagement stops future work; whether any prepaid amount is returned is governed by our Refund Policy and your SOW. Fees for work already performed are generally non-refundable.

Changes to This Policy

We may update this Cancellation Policy from time to time. Material changes will be posted on this page with an updated “Last updated” date. For active engagements, the version referenced in your SOW (or the version in force when the SOW was signed) continues to apply unless you agree otherwise in writing.
